1. Acceptance and Scope
By accessing or using Mizantropic.ai (the "Service"), you agree to these Terms of Use (the "Terms"). If you do not agree, do not use the Service.
These Terms apply to visitors, users, administrators, and organizations using website features, protected interfaces, and related pages.
2. Service Nature and Positioning
Mizantropic.ai is an internal AI solution hosted on local infrastructure and intended for local knowledge-base and internal organizational use cases.
The Service is a technical tool. Output quality depends on input quality, governance, configuration, operational controls, and deployment context.
3. Eligibility and Authority
You represent that you are at least 18 years old and legally capable of accepting these Terms, or that you are authorized to bind the legal entity you represent.
If you use the Service for an organization, that organization is responsible for internal authorization, role management, and lawful user conduct.
4. Account and Access Security
You are responsible for credential confidentiality and activities performed under your account/session, except to the extent caused solely by the operator's proven gross negligence or willful misconduct.
You must promptly notify the operator of suspected credential compromise, unauthorized access, or security misuse.
5. Acceptable Use and Prohibited Conduct
You must not misuse the Service, including unlawful conduct, fraud, malware delivery, credential attacks, unauthorized scraping, denial-of-service behavior, social engineering abuse, or circumvention of technical/organizational controls.
You must not attempt unauthorized access to infrastructure, logs, protected sessions, connectors, accounts, or third-party systems via the Service.
You must not represent AI output as verified fact without appropriate validation when verification is required by law, policy, or professional standards.
6. Data Input Responsibilities
You are solely responsible for all data, prompts, content, files, and instructions you submit, connect, or otherwise make available through the Service ("User Inputs").
You represent and warrant that you have lawful authority, permissions, and legal basis for all User Inputs and related processing activities.
You must not submit personal data, confidential information, or regulated information unless your organization has lawful authority and appropriate legal basis for that submission and use.
Unless expressly agreed in writing with appropriate safeguards, you must not submit special categories of personal data, criminal-offense data, medical records, payment secrets, legal privilege materials, private keys, or similarly sensitive regulated datasets.
You remain responsible for lawful collection, minimization, classification, retention, access controls, confidentiality controls, and internal governance of User Inputs.
The operator does not independently verify legality or permissions for customer-submitted datasets.
7. AI Output Disclaimer and No Professional Advice
Service outputs may be incomplete, inaccurate, outdated, or unsuitable for a specific context. You are responsible for independent verification before reliance.
The Service does not provide legal, tax, medical, financial, investment, cybersecurity, engineering, or other regulated professional advice.
You must not use the Service as the sole basis for high-impact decisions without qualified human review and validation.
8. Privacy, Role Allocation, and Data Protection
Personal data transparency for website-level processing is provided in the Privacy Policy, which forms an integral part of these Terms.
For website operation, security, and baseline administration controlled by the operator, the operator acts as controller.
For customer-uploaded, customer-connected, or customer-managed organizational datasets, the customer organization is generally responsible as controller (or independent controller), unless otherwise agreed in writing.
Where legally required, processor/sub-processor arrangements must be documented by separate written agreement. The public Privacy Policy does not itself constitute a Data Processing Agreement.
You agree to comply with GDPR, applicable Croatian legislation, and other applicable data protection requirements.
9. Intellectual Property
Unless expressly stated otherwise, the Service interface, branding, and non-user-generated components are protected by intellectual property law and remain with the operator or relevant rights holders.
You retain rights in your User Inputs to the extent provided by law. You grant the operator a limited, non-exclusive license to process User Inputs solely as necessary to operate, secure, and maintain the Service.
You must not copy, reverse engineer, decompile, or create derivative systems from protected elements except where mandatory law expressly permits.
10. Third-Party Services and Links
The Service may rely on or link to third-party services. Third-party terms, availability, and privacy practices are outside operator control.
Your use of third-party services is governed by those third parties' own terms and policies.
11. Availability, Maintenance, and Security Operations
The Service may be modified, interrupted, rate-limited, or temporarily unavailable due to maintenance, updates, incidents, security operations, legal requirements, capacity limits, or force majeure.
The operator may apply proportionate technical or administrative controls, including temporary restriction or suspension, where reasonably necessary to protect users, infrastructure, compliance, or service integrity.
12. Fees, Access Tiers, and Enterprise Terms
Pricing, access tiers, support levels, deployment scope, and enterprise commitments are subject to separate commercial agreement where applicable.
Unless expressly confirmed in writing, no specific uptime, response-time target, production-readiness status, processor role, or enterprise security annex is granted.
13. Suspension and Termination
The operator may suspend, restrict, or terminate access where reasonably necessary in case of suspected breach of these Terms, unlawful conduct, security risk, abuse, or mandatory legal requirement.
Suspension or termination does not limit legal rights or remedies under applicable law or valid written agreement.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, including warranties of accuracy, fitness for particular purpose, non-infringement, uninterrupted availability, or error-free operation.
15. Limitation of Liability
To the maximum extent permitted by law, the operator is not liable for indirect, incidental, special, consequential, exemplary, punitive, reputational, regulatory, or loss-of-profit damages, nor for loss of data or business interruption arising out of or related to use of the Service.
Where liability cannot be excluded by mandatory law, liability is limited to the minimum extent permitted by such law.
16. Indemnification
You agree to defend, indemnify, and hold harmless the operator from claims, liabilities, losses, penalties, damages, and reasonable costs (including legal fees) arising from your misuse of the Service, violation of law, infringement of third-party rights, or breach of these Terms.
17. Changes to These Terms
These Terms may be updated from time to time. Updated versions become effective upon publication on this page unless a different effective date is stated.
Continued use after publication of updated Terms constitutes acceptance of the updated Terms.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Croatia and directly applicable European Union law.
Unless mandatory law provides otherwise, competent courts in the Republic of Croatia have jurisdiction over disputes arising from or related to these Terms.
19. Severability and Non-Waiver
If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Failure to enforce a right or provision does not constitute waiver of that right or provision.
